Terms and Conditions

1. General Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and KarmaGate LLC ("KarmaGate", "we", "us", or "our"), a company registered in Georgia, governing your access to and use of KarmaGate software and services.
1.1 Definitions
- "Software" means the KarmaGate application software, including all updates, upgrades, and documentation provided by KarmaGate.
- "Services" means any services provided by KarmaGate, including but not limited to support, maintenance, and cloud services.
- "License" means the right to use the Software granted under these Terms.
- "Authorized User" means an individual authorized by the Customer to use the Software.
- "Target System" means any computer system, network, or application that the Customer tests using the Software.
1.2 Acceptance of Terms
By downloading, installing, accessing, or using any KarmaGate Software or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software or Services.
1.3 Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Software and Services. If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1.4 Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Software after such modifications constitutes acceptance of the updated Terms.
2. KarmaGate Free
The following additional terms apply specifically to KarmaGate Free ("Free"):
2.1 License Grant
Subject to your compliance with these Terms, KarmaGate grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Free edition for personal, non-commercial security testing and educational purposes.
2.2 Restrictions
The Free license does NOT permit:
- Commercial use or use in connection with any revenue-generating activity
- Use by or on behalf of any organization for production security testing
- Distribution, sublicensing, or transfer of the Software
- Removal or modification of any proprietary notices
- Use in automated or continuous integration/deployment pipelines
2.3 Feature Limitations
The Free edition includes limited functionality compared to Pro and Enterprise editions. Certain features, including but not limited to automated scanning, advanced fuzzing, and collaboration features, are disabled or restricted.
2.4 No Support
The Free edition is provided without any support or maintenance. KarmaGate may, at its sole discretion, provide updates but is under no obligation to do so.
2.5 Upgrade Path
If you require commercial use rights, additional features, or support, you must purchase a KarmaGate Pro or Enterprise license.
3. KarmaGate Pro
The following additional terms apply specifically to KarmaGate Pro ("Pro"):
3.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, KarmaGate grants you a limited, non-exclusive, non-transferable license to install and use Pro on a single device for commercial and non-commercial security testing purposes.
3.2 License Type
Individual License: The Pro license is granted to a single named individual for use on their personal devices. The license is non-transferable and may not be shared with other users.
3.3 Permitted Use
The Pro license permits:
- Commercial security testing and penetration testing
- Bug bounty hunting and vulnerability research
- Security consulting services
- Internal application security testing
3.4 Payment Terms
- All fees are payable in advance and are non-refundable except as required by applicable law.
- Subscription licenses automatically renew unless cancelled prior to the renewal date.
- Prices are exclusive of applicable taxes, which you are responsible for paying.
- We reserve the right to change our pricing with 30 days' notice.
3.5 Support
Pro licenses include standard email support during business hours. Support is limited to the Software itself and does not include general security consulting or assistance with specific testing engagements.
4. KarmaGate Enterprise
The following additional terms apply specifically to KarmaGate Enterprise ("Enterprise"):
4.1 License Grant
Subject to your compliance with these Terms and payment of applicable fees, KarmaGate grants your organization a non-exclusive license to deploy and use Enterprise across your organization, subject to the user limits specified in your order.
4.2 Enterprise Features
Enterprise includes additional capabilities:
- SAML/OIDC Single Sign-On (SSO) integration
- SCIM user provisioning
- Advanced role-based access control
- Audit logging and compliance reporting
- Custom data residency options
- API access for CI/CD integration
- Priority support with SLA
4.3 Service Level Agreement
Enterprise customers receive a Service Level Agreement (SLA) with guaranteed response times and uptime commitments. Specific SLA terms are provided in your Enterprise agreement.
4.4 Custom Terms
Enterprise customers may negotiate custom terms and conditions. Any such custom terms must be agreed in writing and will supersede these general Terms where they conflict.
4.5 Data Processing
Enterprise customers requiring data processing agreements for GDPR or other regulatory compliance should refer to our Data Processing Agreement.
5. License Agreement (EULA)
This End User License Agreement ("EULA") governs your use of all KarmaGate Software.
5.1 Intellectual Property
The Software, including all copies, modifications, enhancements, and derivative works, and all intellectual property rights therein, is and shall remain the sole and exclusive property of KarmaGate LLC. The Software is protected by copyright laws and international treaty provisions.
5.2 License Restrictions
You shall not:
- Copy, modify, or distribute the Software except as expressly permitted
- Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law
- Rent, lease, lend, sell, sublicense, or transfer the Software to third parties
- Remove, alter, or obscure any proprietary notices on the Software
- Use the Software to develop competing products or services
- Use the Software in violation of any applicable laws or regulations
- Circumvent or disable any licensing or security features
5.3 Termination
This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this EULA. Upon termination, you must destroy all copies of the Software in your possession. Sections relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive termination.
5.4 Updates and Upgrades
KarmaGate may, at its discretion, provide updates or upgrades to the Software. Such updates may be required to continue using certain features. This EULA applies to all updates unless a separate license is provided with the update.
5.5 Audit Rights
KarmaGate reserves the right to audit your use of the Software to verify compliance with these Terms. You agree to provide reasonable assistance and access to information in connection with any such audit.
5.6 Reseller Provisions
If you are authorized to resell KarmaGate Software, you must:
- Ensure end customers accept this EULA before providing access to the Software
- Not modify the Software or combine it with other products without written permission
- Maintain accurate records of all end customer licenses
- Provide end customer information to KarmaGate upon request
6. Website Terms of Use
These terms govern your use of karmagate.com and any related websites operated by KarmaGate.
6.1 Website Access
We grant you a limited, non-exclusive, non-transferable right to access and use our website for personal and informational purposes. We reserve the right to modify, suspend, or discontinue the website at any time without notice.
6.2 User Accounts
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
6.3 Content
All content on our website, including text, graphics, logos, and software, is the property of KarmaGate or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
6.4 User Submissions
Any content you submit to our website (including feedback, suggestions, and forum posts) grants us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute such content.
6.5 Links to Third Parties
Our website may contain links to third-party websites. We are not responsible for the content or practices of these websites and encourage you to review their terms and privacy policies.
7. Acceptable Use Policy
This Acceptable Use Policy applies to all use of KarmaGate Software and Services.
7.1 Authorized Testing Only
YOU MUST ONLY USE KARMAGATE SOFTWARE TO TEST SYSTEMS FOR WHICH YOU HAVE EXPLICIT WRITTEN AUTHORIZATION.
Unauthorized access to computer systems is illegal in most jurisdictions. You are solely responsible for ensuring you have proper authorization before testing any Target System.
7.2 Prohibited Activities
You must not use the Software to:
- Attack, probe, or test systems without explicit authorization
- Engage in any illegal activity or violate any applicable laws
- Disrupt, damage, or interfere with third-party systems or services
- Intercept communications without authorization
- Collect, store, or process personal data in violation of privacy laws
- Distribute malware, ransomware, or other malicious software
- Conduct denial-of-service attacks
- Violate any third-party rights, including intellectual property rights
7.3 Export Compliance
The Software may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national of any country subject to applicable trade sanctions.
7.4 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate termination of your license without refund. We may also report suspected illegal activity to appropriate law enforcement authorities.
8. Payment and Refund Policy
8.1 Payment Terms
- All fees are stated in U.S. Dollars (USD) unless otherwise specified.
- Payment is due in advance for all subscription plans.
- We accept major credit cards and other payment methods as displayed during checkout.
- You are responsible for all applicable taxes, duties, and fees.
8.2 Automatic Renewal
SUBSCRIPTION LICENSES AUTOMATICALLY RENEW at the end of each billing period (monthly or annually) unless you cancel before the renewal date. We will charge the payment method on file for the renewal.
You may cancel automatic renewal at any time through your account settings or by contacting us at billing@karmagate.com. Cancellation will take effect at the end of the current billing period.
8.3 Refund Policy
General Refund Terms:
- 14-Day Money-Back Guarantee: New subscribers may request a full refund within 14 days of initial purchase if the Software does not meet your expectations.
- No Refunds After 14 Days: After the 14-day period, all payments are non-refundable.
- Renewal Refunds: Automatic renewal charges may be refunded within 7 days of the renewal date if requested promptly.
- Termination for Cause: If we terminate your license for violation of these Terms, no refund will be provided.
8.4 How to Request a Refund
To request a refund, contact us at billing@karmagate.com with your order details. Refunds will be processed within 10 business days to the original payment method.
8.5 Price Changes
We reserve the right to change our prices at any time. For existing subscribers, price changes will take effect at the next renewal period. We will provide at least 30 days' notice of any price increases.
8.6 Free Trial
If we offer a free trial, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
9. Disclaimers and Limitations
9.1 Disclaimer of Warranties
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
KARMAGATE DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT THE SOFTWARE WILL DETECT ALL VULNERABILITIES OR THAT YOUR USE OF THE SOFTWARE WILL MAKE YOUR SYSTEMS SECURE.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KARMAGATE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE OR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE OR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.3 Indemnification
You agree to indemnify, defend, and hold harmless KarmaGate and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of these Terms, or your violation of any rights of any third party.
9.4 Force Majeure
KarmaGate shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, or severe weather
- War, terrorism, civil unrest, or armed conflict
- Epidemics, pandemics, or public health emergencies
- Government actions, laws, regulations, or embargoes
- Strikes, labor disputes, or work stoppages
- Power outages, telecommunications failures, or internet disruptions
- Cyberattacks, hacking, or denial-of-service attacks beyond our control
- Third-party service provider failures
In the event of a force majeure, our obligations shall be suspended for the duration of such event. If the force majeure event continues for more than sixty (60) days, either party may terminate these Terms without liability.
10. Governing Law, Disputes & Arbitration
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Georgia (the country), without regard to its conflict of laws principles.
10.2 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at legal@karmagate.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days.
10.3 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
If we cannot resolve the dispute informally, you and KarmaGate agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved by binding arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.
Arbitration Rules: The arbitration shall be administered by a mutually agreed-upon arbitration institution under its rules. If the parties cannot agree on an institution, arbitration shall be conducted in accordance with the UNCITRAL Arbitration Rules.
- The arbitration shall be conducted in English.
- The arbitration shall take place in Tbilisi, Georgia, or via video conference if mutually agreed.
- The arbitrator's decision shall be final and binding.
- Judgment on the arbitration award may be entered in any court of competent jurisdiction.
10.4 Class Action Waiver
YOU AND KARMAGATE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration section shall be null and void.
10.5 Exceptions
Notwithstanding the above, either party may:
- Bring an individual action in small claims court
- Seek injunctive or other equitable relief to prevent infringement of intellectual property rights
- Seek enforcement of an arbitration award in any court of competent jurisdiction
10.6 Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@karmagate.com within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the dispute resolution provisions of Section 10.7 will apply.
10.7 Court Proceedings (If Arbitration Does Not Apply)
If the arbitration agreement does not apply or is found unenforceable, you agree that any judicial proceeding will be brought in the courts of Georgia. You consent to the exclusive jurisdiction and venue of such courts.
10.8 Severability
If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
10.9 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms to which you agree, constitute the entire agreement between you and KarmaGate regarding the Software and Services and supersede all prior agreements and understandings.
10.10 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.
10.11 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by KarmaGate.
